Government just amended the Press Note 3 Rules and I believe we all should know about it.

- Introduced in April 2020 during the COVID-19 economic slowdown.
- Aimed at preventing opportunistic acquisitions of stressed Indian companies.
- Any investment from entities in countries sharing a land border with India required prior Government approval.
Challenge
- Policy referred to investments where the โbeneficial ownerโ was from a border country. However, no threshold for beneficial ownership was defined, creating uncertainty for investors and dealmakers.
- This meant that even very small indirect shareholdings from border-country investors could trigger approval requirements.

- Govt has said that if investors from border countries hold up to 10% non-controlling beneficial ownership, the investment can proceed under the automatic route.
- Alignment with Existing Laws such as
1) Prevention of Money Laundering (Maintenance of Records) Rules
2) Companies Act beneficial ownership framework
- The Government has also clarified that the beneficial ownership test will be applied at the level of the investor entity bringing much-needed clarity on how ownership structures should be assessed.

1) Companies receiving such investments must report the transaction to DPIIT.

- Another significant change is the introduction of a 60-day approval timeline for investments in key manufacturing sectors.
- Focus sectors include Capital goods manufacturing, Electronic capital goods
and components
- Condition is that the Indian investee company must remain Indian owned and controlled.
This signals the Governmentโs intention to channel foreign capital into strategic supply chains particularly in electronics and semiconductor ecosystems as India pushes to strengthen domestic manufacturing capabilities.
